ShopShops Influencer Guidelines

These ShopShops Influencer Guidelines (the “Guidelines”) govern all promotional and marketing activities conducted by hosts, affiliates, and content creators on behalf of iShopShops, Inc. or its affiliated brands (collectively, “ShopShops”). Compliance with these Guidelines is a mandatory requirement for maintaining your access to and use of the ShopShops platform. These guidelines are hereby incorporated by reference into your agreement with ShopShops. As used herein, “you,” “your” or “Influencer” refers to the individual or entity who has been engaged by ShopShops to provide influencer, content creation or similar marketing services.
a. FTC Guides. Influencer shall comply with the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising, located at https://www.ftc.gov/sites/default/files/attachments/press-releases/ftc-publishes-final-guides-governing-endorsements-testimonials/091005revisedendorsementguides.pdf. Influencer shall also comply with The FTC’s Endorsement Guides: What People Are Asking, located at https://www.ftc.gov/tips-advice/business-center/guidance/ftcs-endorsement-guides-what-people-are-asking and with any other FTC policies and procedures that the FTC may release from time to time regarding social media (collectively, with the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising, the “FTC Guides”). In addition, to the extent not in conflict with the above FTC Guides, Influencer shall comply with the terms and conditions contained herein.
b. Respect Intellectual Property Rights. Broadly speaking, intellectual property is the group of legal rights given to works that people create or invent. Intellectual property rights typically include copyright, trademark, and trade secret rights, as well as the right to use someone's name, likeness, image, or voice. Examples include photographs, videos, music (including song lyrics), trademarks/logos, brand names or brand packaging, personal names/likenesses (including celebrities’ names/likenesses), quotes and writings. You should never post or share any content including these elements without obtaining written permission to do so from the third party who owns the rights, as this would constitute a violation or infringement of their intellectual property. This means:
i. You should not post or share any works that you do not own or have a proper license to use or have not been authorized by ShopShops for usage.
ii. You should get permission from any third parties featured in photos and other content that you post – for example, a signed release, waiver, or other form of written permission from those third parties – even if you took the photo yourself, know the individuals involved and/or obtained verbal consent.
iii. If you are unsure about a work, particularly in instances where a work includes a third-party’s trademark/logo, or music, film or television clips, or a celebrity’s name, photo or image, you should check with ShopShops before using the work. A good rule of thumb is, if in doubt, do not use it.
c. Disclose Your Connection to ShopShops. When blogging, vlogging, posting or otherwise performing services as an Influencer regarding ShopShops’s products or services, you must clearly and conspicuously disclose your “material connection” with ShopShops and include any hashtags such as #ad or #sponsored that are required or suggested by the FTC Guides or as otherwise required by ShopShops. “Material connections” means any connection between an Influencer and a marketer that could affect the credibility consumers give to that Influencer’s statements. Examples of material connections include consideration (i.e., benefits or incentives such as monetary compensation, loaner products, free products or services, any in-kind gifts, or special access privileges) provided by a marketer to an Influencer and any other business or familial relationship. For all ShopShops Influencers, a material connection will always exist. Note that while ShopShops may provide recommendations and options for disclosures, ShopShops will not be responsible for any failure by you to comply with the FTC Guides or any failure by you to obtain all third-party clearances and permissions with respect to content you post. Please note that a branded content tool (e.g. Instagram’s “Paid Partnership” tag, Facebook’s “Branded Content Tool,” and YouTube’s “Content Declaration”), while helpful, may not, by itself, be sufficient by itself to disclose any a material connection.
d. Maintain Clear and Conspicuous Disclosure. Required dislcosures should be made in close proximity to any statements that you make about ShopShops’s products. Disclosures should be clear, conspicuous and prominent enough for consumers to view it when they are reading your blogs or posts or watching your videos. This means that the disclosure should not be buried within a number of other hashtags, in small fonts, hidden in the post, behind links, or in the terms and conditions (or in similar documents). Solely tagging ShopShops in posts without further disclosure is not clear and conspicuous. Any disclosure in font must be in an easy-to-read font and in a shade that stands out against the background. Viewers should not be required to click on, scroll down or mouse over a link in order to view the disclosure. This includes stating the disclosure after the first three lines of an Instagam post caption, which requires the consumer to click “More” to view the disclosure. All disclosures regarding material connections must be made above the “More” button on an Instagram post. In videos, the disclosure must be on the screen long enough to noticed, read, and understood by consumers. When posting live streams (like on the ShopShops platform), both visual and verbal disclosures are required. ShopShops will provide a standard graphic that must be persistently displayed during live streams. During videos, including live streams, verbal disclosures must be: read in a cadence that is easy for consumers to follow and understand; stated clearly; and stated at the start of every video and after every significant break or change or product. Note that disclosures are required regardless of any space limitations of the medium, and if there are space limitations (e.g., on X f/k/a Twitter), hashtags, preferably at the beginning of the post, should be used. Additionally, the disclosure should be unambiguous. Do not use vague terms or hashtags that do not clearly convey the endorsement relationships, such as “#sp,” “#spon,” “#collab,” “#ambassador,” “#ThanksShopShops,” and “#partner.” Acceptable disclosure tags include: “#ad,” “#sponsored,” “#ShopShopsPartner,” and “#CommissionPaid.”
e. Affiliate Link Disclosure. If content contains an affiliate link or a commission-earning promotional code, you must clearly disclose the commercial nature of that link, even if the content is otherwise considered an unsolicited review or recommendation. Use clear phrasing like #AffiliateLink, #CommissionEarned, or "I earn a commission from your purchase."
f. Give Your Honest and Truthful Opinions. Your statements should always reflect your honest and truthful opinions and your accurate, actual experiences with the product. If you claim to have used a product, you must be a bona fide user of that product. If a statement is not your opinion, but rather something that ShopShops has asked you to say, this fact should be made clear to consumers in the disclosures. You may not make claims about a product that are untrue or deceptive. All blogs, videos, posts, and comments must be in good taste and free of inappropriate language and/or any content that promote bigotry, racism, or discrimination against an individual based on race, gender, religion, nationality, disability, sexual orientation, or age.
g. Only Make Factual Statements That Are Truthful and Can Be Verified. Only make a factual statement about ShopShops’s product/services’ characteristics, performance, safety, effectiveness or quality which you know for certain is true and can be verified. For example, do not make statements about the performance of a product, such as “this cleanser will clear up acne,” unless you have credible scientific evidence provided by the brand for such claims. Even if you do not expressly state a fact, it may be implied, and these Guidelines also apply to implied messages. If you reference personal results and they are not what the average consumer can expect, you must clearly state this limitation (e.g., “This result is not normal, your results may vary.”)
h. Do Not Send E-mail Messages on ShopShops’s Behalf Unless Expressly Requested To Do So. Unless expressly requested to do so by ShopShops, Influencer is not permitted to send any e-mails on ShopShops’s behalf, nor will ShopShops provide any compensation for emails sent on its behalf.
i. Comply with other policies and laws. Influencer should comply with the terms, conditions, guidelines and policies of any service that you use and all applicable laws. For instance, if a service says it may not be used for commercial purposes, then Influencer should not promote ShopShops products or services on such a site.
j. Protect Your Personal Information. Protect your privacy by keeping in mind that your posts are public. Don’t share personal or sensitive information about you or your family that you may not want to make available to the public.
k. Respect Others’ Privacy. Do not include personal information about any third party that has not been voluntarily made available by them for you to share in your posts. This includes any information that may make it possible for someone to reasonably identify another person.
l. User Generated Content. Use only pre-approved responses provided by ShopShops to respond to any user generated comments about ShopShops and its products or services. Consult with ShopShops on any user generated content that contains a ShopShops complaint, issue or question.
m. Other Requirements. Without limiting anything herein, Influencer shall not:
i. Generate, manipulate, or otherwise produce or induce fraudulent clicks, impressions or transactions, including but not limited to using scripts, spyware, robots or other automated tools and/or computer generated requests;
ii. Violate the terms, conditions, policies, or guidelines or any third-party service or website, including but not limited to those of any social media site;
iii. Act in any manner that violates the FTC Guides or puts ShopShops in violation thereof;
iv. Violate or infringe upon the intellectual property, personal, or proprietary rights of any third party, including but not limited to, copyrights, trademarks, patents, trade secrets or confidentiality obligations;
v. Use anything threatening, libelous, defamatory, obscene, scandalous, or inflammatory or that could otherwise violate any other applicable law;
vi. Use anything adult in nature (such as pornography), gambling related, nutraceutical related, or “get rich quick” schemes;
vii. Use or do anything which may be false, misleading, or deceptive; or
viii. Engaged in any other illegal or fraudulent, misleading, or deceptive business practice under the laws of any jurisdiction where Influencer is located or the content is displayed or any other conduct that ShopShops determines may otherwise result in legal liability.
n. Non-Compliance and Enforcement. ShopShops reserves the right to monitor all Influencer content, on and off the ShopShops platform, to ensure compliance with these Guidelines and the FTC Guides. If ShopShops identifies content or a post that is non-compliant, the Influencer will be required to edit or remove the content or post immediately. Failure to comply with these Guidelines will be considered a material breach of your agreement with ShopShops and may result in suspension or immediate termination of your platform account or agreement and forfeiture or recoupment of unpaid commissions, fees, or other payments related to the non-compliant content. You also hereby agree to indemnify, defend, and hold harmless ShopShops from and against any and all third party and direct claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from or in connection with your breach of these Guidelines.
